PUBLIC OFFER
1. GENERAL PROVISIONS
1.1. This Public Offer (hereinafter referred to as the “Offer”) is an official proposal of the Individual Entrepreneur (hereinafter referred to as the “Seller”) to conclude a Distance Sales Agreement for Goods (hereinafter referred to as the “Agreement”) on the terms and conditions specified in this Offer.
1.2. In accordance with Article 641 of the Civil Code of Ukraine, the placement of this Offer on the website yukacoffee.ua constitutes the Seller’s public proposal to conclude the Agreement with any person who accepts it.
1.3. Acceptance of this Offer is considered to be any of the following actions by the Buyer:
- placing an order on the website yukacoffee.ua;
- making payment for the order;
- confirming the order via communication means.
1.4. By accepting this Offer, the Buyer confirms that they have read and agree to all its terms and conditions.
1.5. The Seller reserves the right to make changes to the terms of this Offer without prior notice. The new version becomes effective from the moment it is published on the website.
2. DEFINITIONS
2.1. The following terms are used in this Offer with the meanings specified below:
- Seller — the Individual Entrepreneur operating under the trademark Yuka Coffee Roasters and the owner of the online store yukacoffee.ua.
- Buyer — any capable individual or legal entity that has accepted this Offer.
- Goods — products presented in the catalog of the online store yukacoffee.ua (whole bean coffee, ground coffee, coffee sets, and related products).
- Order — a properly executed request by the Buyer for the purchase of Goods selected in the online store.
- Website — the Seller’s website located at www.yukacoffee.com, created for the conclusion of retail and wholesale purchase and sale agreements based on the Buyer’s review of the Goods description provided by the Seller via the Internet.
3. SUBJECT OF THE AGREEMENT
3.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to accept and pay for the Goods under the terms of this Agreement.
3.2. The list, characteristics, quantity, and price of the Goods are determined by the Buyer independently based on the information posted on the Website and specified in the confirmed Order.
3.3. Ownership of the Goods passes to the Buyer at the moment of actual receipt of the Goods and full payment of their cost.
4. PRICE OF GOODS AND PAYMENT PROCEDURE
4.1. The price of the Goods is indicated on the Website in Ukrainian hryvnia (UAH) and includes all taxes and fees established by the legislation of Ukraine.
4.2. The Seller reserves the right to change the prices of the Goods at any time. However, the price of a confirmed Order is not subject to change.
4.3. Payment for the Goods is made in one of the following ways:
- online by bank card through the payment service on the Website;
- by bank transfer to the Seller’s current account;
- in cash upon receipt (if this option is available when placing the order).
4.4. The Order is considered accepted for execution after confirmation by the Seller and receipt of payment or agreement on payment terms.
5. DELIVERY TERMS
5.1. Delivery of the Goods is carried out throughout Ukraine. Delivery methods:
- Nova Poshta delivery service;
- Courier delivery in Kyiv.
5.2. The cost of delivery is calculated separately and depends on the chosen method, weight, and dimensions of the order. The cost is displayed during the ordering process.
5.3. The delivery time is 1–5 business days from the moment the Goods are handed over to the carrier. Exact terms depend on the region and the workload of the delivery service.
5.4. The risk of accidental damage or loss of the Goods passes to the Buyer from the moment the Goods are handed over to the carrier.
5.5. Upon receipt of the Goods, the Buyer is obliged to check the conformity of the Goods with the order and the absence of external damage. In case of discrepancies, an act must be drawn up together with the carrier’s representative and the Seller must be notified.
6. QUALITY OF GOODS
6.1. The Seller guarantees that the Goods correspond to the characteristics specified on the Website and are suitable for use as intended.
6.2. The Goods have an appropriate shelf life indicated on the packaging. The Seller guarantees that the Goods are sold with a shelf life sufficient for their use.
6.3. Coffee is a product recommended for consumption within 30 days from the roasting date to achieve optimal taste. This condition is not considered a defect of the Goods.
7. RETURN AND EXCHANGE OF GOODS
7.1. The Buyer has the right to refuse the Order and return the Goods in accordance with the Law of Ukraine “On Protection of Consumer Rights”.
7.2. Goods of proper quality may be returned or exchanged under the following conditions:
- The Goods have not been used and remain unopened;
- The presentation, consumer properties, seals, and original packaging are preserved;
- The payment document or other proof of purchase is retained;
- The request is made within 14 calendar days from the date of receipt of the Goods.
7.3. Return of Goods of improper quality is carried out within the terms established by law. The Seller is obliged to replace the Goods, eliminate defects, or refund the money.
7.4. Refunds are made in the same way as the original payment, within 7 banking days from the moment the Seller receives the Goods.
7.5. Food products of proper quality that have the appropriate presentation cannot be returned or exchanged if they have been unpacked and show signs of use — in accordance with the current legislation of Ukraine.
8. RIGHTS AND OBLIGATIONS OF THE PARTIES
8.1. The Seller undertakes to:
- fulfill confirmed Orders in a timely manner;
- ensure the availability of up-to-date information about the Goods on the Website;
- maintain the confidentiality of the Buyer’s personal data;
- inform the Buyer about changes in the Order status.
8.2. The Seller has the right to:
- refuse to confirm an Order in case of unavailability of the Goods or impossibility of delivery;
- request additional information from the Buyer for proper fulfillment of the Order;
- change the terms of this Offer.
8.3. The Buyer undertakes to:
- provide accurate information when placing an Order;
- pay for and accept the Goods in a timely manner;
- familiarize themselves with the terms of this Offer before accepting it.
9. LIABILITY OF THE PARTIES
9.1. For non-fulfillment or improper fulfillment of their obligations, the Parties shall be liable in accordance with the current legislation of Ukraine.
9.2. The Seller shall not be liable for delays or non-fulfillment of the Order caused by circumstances beyond the Seller’s reasonable control, including: actions or omissions of delivery services, technical failures on the Website, or force majeure circumstances.
9.3. The Seller’s total liability to the Buyer is limited to the value of the Order in dispute.
10. CONFIDENTIALITY AND PERSONAL DATA PROTECTION
10.1. By placing an Order, the Buyer consents to the processing of their personal data (surname, first name, patronymic, contact phone number, email address, delivery address) for the purpose of fulfilling the Agreement, in accordance with the Law of Ukraine “On Personal Data Protection”.
10.2. The Seller undertakes not to transfer the Buyer’s personal data to third parties, except in cases necessary for Order fulfillment (delivery services, payment systems) or as provided by law.
10.3. The Buyer has the right to revoke their consent to the processing of personal data at any time by sending a corresponding request to the Seller’s contact email address.
11. DISPUTE RESOLUTION
11.1. All disputes and disagreements arising between the Parties in connection with the performance of this Agreement shall be resolved through negotiations.
11.2. If the dispute cannot be resolved through negotiations, it shall be referred to the court at the location of the Seller in accordance with the current legislation of Ukraine.
11.3. A consumer Buyer also has the right to apply to state consumer protection authorities or to the court at their place of residence.
12. FORCE MAJEURE
12.1. The Parties are released from liability for partial or complete non-fulfillment of obligations if it resulted from force majeure circumstances: natural disasters, military actions, imposition of martial law or state of emergency, actions of state authorities, etc.
12.2. The Party affected by force majeure circumstances must notify the other Party as soon as possible.
13. OTHER TERMS
13.1. The Agreement enters into force from the moment the Buyer accepts the Offer and remains in effect until the Parties fully fulfill their obligations.
13.2. The invalidity of any provision of this Offer does not entail the invalidity of the remaining provisions.
13.3. Any relations between the Buyer and the Seller not regulated by this Offer shall be governed by the current legislation of Ukraine.
